Advised Yip’s Chemical Holdings Limited (Stock Code: 408) on its disposal of 100% equity interest in Big Youth Investment Limited for a total consideration of HKD 280 million in 2021.

Advised Yip’s Chemical Holdings Limited (Stock Code: 408) on its acquisition of 60% equity interest in Beijing Sino-Hypro Petrochemical Tech. Co., Ltd. for a total consideration of RMB 280 million in 2025.

Financing

Advised Yip’s Chemical Holdings Limited (Stock Code: 408) on a three‑year sustainability performance‑linked loan facility with a total commitment of HKD 460 million in 2023.

Advised Edvantage Group Holdings Limited (Stock Code: 382) on a loan facility of approximately USD 100 million provided by International Finance Corporation, a member of the World Bank Group.

Advised YesAsia Holdings Limited (Stock Code: 2209) on its private placement of new shares for a subscription price of approximately HKD 22 million.

General regulatory compliance

Acts as regular legal adviser to various Hong Kong‑listed companies on the Listing Rules of The Stock Exchange of Hong Kong Limited, the Companies Ordinance and applicable securities laws, including: handling day‑to‑day legal enquiries, reviewing annual and interim reports, drafting shareholders’ meeting circulars, preparing price‑sensitive announcements and responses to enquiries from the Stock Exchange, and preparing documentation for discloseable transactions, as well as delivering periodic training to directors.
